1. DEFINITIONS
For the purpose of this Agreement, the following definitions apply:
- “User” refers to any business entity, organization, or individual that engages with our lead generation, digital marketing, and related services.
- “Services” encompass all business-to-business (B2B) digital marketing activities, including lead generation, data enrichment, prospect engagement, sales pipeline support, and associated consultancy services.
- “Leads” refer to business contacts, potential clients, or prospects sourced, curated, or managed through our services.
- “Confidential Information” includes proprietary business data, lead databases, client lists, communication records, methodologies, and any non-public data shared between parties.
- “Third-Party Providers” refer to external vendors, data sources, or partners engaged either by us or by our clients in relation to the services offered.
2. ACCEPTABLE USE OF SERVICES
Services provided by GO MO DBS are intended strictly for business-to-business (B2B) purposes. The following usage conditions apply:
- Users may only utilize our services in accordance with applicable laws, industry best practices, and ethical business standards.
- The use of our services for unsolicited bulk marketing, spam activities, fraudulent outreach, misleading advertising, or unethical lead manipulation is strictly prohibited.
- Lead data provided must not be used for personal, unauthorized, or illegal purposes, including but not limited to:
- Consumer-based marketing (B2C) without explicit consent.
- Reselling, distributing, or repackaging lead data without authorization.
- Engaging in any activity that could result in reputational, financial, or legal damages to the Company.
- Users must comply with all regional and global data protection regulations, including:
- General Data Protection Regulation (GDPR) – for handling European Union (EU) customer data.
- California Consumer Privacy Act (CCPA) – for personal data of California-based individuals.
- CAN-SPAM Act & Telephone Consumer Protection Act (TCPA) – governing email and telemarketing communications.
- The use of automated tools, bots, or scripts to extract, manipulate, or modify data from our platforms without authorization is not permitted.
- Any attempt to bypass security controls, disrupt service functionality, or gain unauthorized access to restricted systems will result in immediate termination of service and potential legal action.
Non-compliance with these provisions may lead to the suspension or permanent termination of services without prior notice.
3. CLIENT RESPONSIBILITIES
Clients utilizing our services are required to:
- Provide Accurate Business Information: Any information submitted during registration or service use must be truthful, up-to-date, and legally obtained. False or misleading data submissions will result in termination of service.
- Ensure Legal & Ethical Use of Lead Data:
- Clients must verify that any outreach conducted using leads from our platform is lawful, ethical, and compliant with applicable data privacy regulations.
- Outreach efforts must respect opt-in and opt-out preferences and ensure leads are not contacted in violation of do-not-call (DNC) registries or anti-spam laws.
- Maintain Confidentiality of Data:
- Lead data acquired through our services is strictly for internal business use.
- It must not be resold, shared, or disclosed to unauthorized third parties.
- Any detected misuse of lead data will result in immediate account suspension and potential legal action.
- Honor Opt-Out and Removal Requests: If a lead requests removal from a client’s database, the client must process such requests without delay and ensure that the contact is not engaged further.
Failure to comply with these responsibilities may result in penalties, service termination, and legal consequences.
4. ACCOUNT REGISTRATION & SECURITY
- Users must register an account using valid business credentials. Personal or unverifiable information may lead to rejection of service access.
- Users are solely responsible for maintaining the confidentiality of their login credentials and must ensure that unauthorized individuals do not access their accounts.
- Any suspected unauthorized access, data breach, or security compromise must be reported to us immediately.
- We do not assume liability for losses resulting from account compromise due to user negligence.
5. PAYMENT TERMS
- Payment terms, service fees, and pricing structures are governed by individual Service Agreements between the Company and the client.
- All invoices must be paid in full within the agreed-upon timeframe. Delays in payment may result in:
- Service suspension until dues are cleared.
- Late payment penalties or additional processing fees.
- Fees are non-refundable, except where explicitly stated in the service contract.
- The Company reserves the right to modify pricing structures with prior notice to existing clients.
6. DATA PRIVACY & COMPLIANCE
- The Company adheres to all applicable data protection laws and ensures that user data is managed responsibly.
- Clients must ensure that lead data obtained from our services is handled in accordance with relevant privacy policies and regulatory frameworks.
- Any breach of data security, unauthorized sharing, or misuse of lead information will be subject to immediate termination and legal action.
- Users must have a lawful basis for contacting leads, such as prior consent, contractual necessity, or legitimate business interest.
7. INTELLECTUAL PROPERTY
- All intellectual property, including proprietary software, methodologies, lead data, reports, and marketing materials, remains the exclusive property of GO MO DBS.
- Users are not permitted to copy, modify, distribute, or create derivative works based on our proprietary content without explicit written authorization.
- Any unauthorized use of our brand name, trademarks, or copyrighted materials will be subject to legal action.
8. CONFIDENTIALITY
- Both parties agree to maintain strict confidentiality of all business data, lead information, and proprietary methodologies shared during engagements.
- Confidentiality obligations remain in effect even after termination of services.
- The unauthorized sharing, selling, or repurposing of confidential information outside the agreed scope of engagement is strictly prohibited.
9. LIMITATION OF LIABILITY
- Services are provided on an “as-is” and “as-available” basis, with no guarantees on lead conversion rates, revenue outcomes, or business success.
- The Company shall not be liable for:
- Any misuse or mishandling of lead data by clients.
- Any legal repercussions arising from non-compliant outreach or data processing by users.
- Any indirect, incidental, or consequential losses related to the use of our services.
Users indemnify and hold the Company harmless against any claims, damages, or liabilities resulting from improper use of services.
